The DOS 5.0 Upgrade packages is available ONLY from Microsoft as
MS-DOS 5.0 Upgrade and IBM as IBM DOS 5.0 Retail Upgrade Package.
(EggHead is currently carrying EITHER for $39.95 with the instant
rebate.)

The "non-upgrade" package (fresh DOS 5.0 installation) will only
be offerred by OEMs (like IBM, Compaq, AST, Dell, etc.) and
apparently Microsoft will not sell it directly through any
retail channels. You'll be able to get a DOS 5.0 from your PC
manufacturer, who will slightly tailor the DOS to its hardware before
selling it. (IBM DOS 5.0, Compaq DOS 5.0, etc.)

CompuAdd will be selling the MS-DOS _non-upgade_ setup for $49.00
starting ~24 June. This is curious, as the UPGRADE costs ~$60.00.
