FLOATING POINT AND CELERITY SIGN DEFINITIVE AGREEMENT

     BEAVERTON, OR. (May 5, 1988) -- Floating Point Systems, Inc.
and Celerity Computing of San Diego, California have signed
a definitive agreement for Floating Point's purchase of the 
assets of Celerity.  The two companies announced April 14 that
they had signed a letter of Intent.  The definitive agreement
is the next step in the process.

     Floating Point Systems and Celerity both design, manufacture
and market high performance computer systems designed to perform
mathematical calculations at very high speeds.  These computers
are used in technical applications principally by engineers and
scientists, to improve the quality and speed of their designs
through the use of mathematical modeling.
