(415) 931-8500 telex: 9103804097 TELEPORT fax: 415/931-2885; At: Joel Schatz, President, Chairman of the Board _________________________________________ _________________________________________ Introducing the INTERNATIONAL COMPUTER CLUB A G R E E M E N T on the Establishment of the International Computer Club The Signatory organizations, hereinafter called "Contracted Parties", Governed by the principles proclaimed in the United Nations Charter, Desirous under the motto "Informatique at the service of international dialogue", to: - create conditions for further social progress, strengthen peace and mutural understanding through uniting the efforts of organizations and individuals of different countries in expanding and deepening the international ties, mutural information and trust in modern computer and communication technologies, - develop international ties between different countries on the basis of tapping the potential of modern computer means and communication technologies, - eradicate all forms of information discrimination on any ground, - develop information technologies in economically least developed countries, - widely disseminate basic computer literacy and culture, - introduce computer technology in all areas of human activity, where this is economically feasible and socially relewant, - promote computer knowledge, particularly among modern youth, - introduce principles of computer aesthetics and modes of work with information technologies that are most safe for human health, agreed to follows: ARTICLE 1. To establish the International Computer Club (ICC). The International Computer Club is being established as an international non-governmental organization to be created and to function on an independent basis. The International Computer Club shall be a noncommercial organization which in its present and future activities shall not aim at gaining profit for distribution among participants and which shall utilize all kinds of revenue and profit comprehensive development, promotion and dissemination of computer literacy and culture in accordance with its purposes and objectives. The International Computer Club shall be opened for participation of organizations and individuals, irrespective of their nationality, location or place of living, subject of their recognition of principles, purposes and objectives of the International Computer Club. The International Computer Club undertakes its activities on the basis of full equality and respect of all organizations and individuals participating in the ICC. The seat of the International Computer Club shall be established at Moscow, USSR. ARTICLE 2. The International Computer Club is being established and shall undertake its activities in accordance with the terms and conditions of the present Agreement, the Statute of the ICC which shall be an integral part of the present Agreement, as well as rules and regulations issued by the ICC within terms of reference. ARTICLE 3. The International Computer Club shall be a legal entity. The International Computer Club enjoys the capacity necessary to perform its functions and fulfill its purposes and objectives in accordance with the terms and conditions of the present Agreement and the ICC Statute. The International Computer Club enjoys the status of the international organization on the basis of its direct or indirect recognition in this capacity by the compliment bodies of States or international organization on the basis of special agreements reached by the ICC with such bodies. The legal relations between the International Computer Club and a host country for the ICC, its affiliates and organizations established under its auspices shall be governed by appropriate agreements. ARTICLE 4. The International Computer Club has properly of its own which shall be acquired through: - entry and membership fees of the ICC participants, - commercial and other profit-generating activities of the ICC, - ad-hoc revenues, donations, testaments, grants and charities in cash and in kind from individuals and organizations. ARTICLE 5. With the aim to fulfill its purposes and objectives the International Computer Club performs the following functions: - promotes the development of new, non-conventional forms of business cooperation, inter alias, on multilateral basis, through cross- representing interests of its participants, promoting direct contacts between interested enterprises and organizations, creating necessary conditions for fruitful co-operation of open, easily accessible data banks of reference, commercial and other information; - examines requirements, implications and prospects of computer applications (particularly personal computers) including problems of work place automation, introduction of electronic mail, compressed video signal transmitting techniques and other means to promote dialogue between international partners in economic, scientific, cultural, humanitarian and other fields of international cooperation; - utilizes the results of conducted research to provide ICC participants, as well as interested organizations with consultative services packages; - studies, develops and introduces new active and flexible forms and methods of teaching and training on the basis of application of modern computer technology, promotes general computer culture; - undertakes studies of the world computer hardware and software markets, relevant legislation and customs in different countries in computer use and application, their management and organizational experience; - provides consulate services in marketing, advertising, copyright protection, establishment of joint ventures and other related issues; - organizes international meetings, conferences, competitions, exhibitions and demonstrations of advanced computer technology, exchange of delegations, professionals and tourists groups sharing particular interest; - encourages and provides financial and technical assistance in undertaking joint projects, research and development. ARTICLE 6. 1. The State bodies, establishments and representations, international organizations, associations enterprises and organizations established on the State, cooperative, private or public basis, irrespective of their national origin and location, as well as individuals who through their professional and/or public activities, can promote international ties in the field of modern computer and informatique technology irrespective of their citizenship or nationality and place of living may become the participants of the International Computer Club. 2. The participants of the International Computer Club shall be founders and members of the ICC. The Founders shall be the organizations that have signed the present Agreement and /or that have joined it in the prescribed manner. The Members of the International Computer Club shall be organizations and individuals who have applied for membership of the ICC and have been admitted in accordance with the ICC Statute. 3. Membership of the International Computer Club may be individual and collective. The collective members of the ICC shall be national and regional associations of organizations and citizens aiming at participation in the ICC activities. The individual members of the International Computer Club have the rights and bear the responsibilities stipulated in the ICC Statute. ARTICLE 7. The highest governing body of the International Computer Club which performs general management of the ICC activities shall be the Council of Founders. The Council of Founders consists of representatives of all Founders of the ICC. The Council of Founders elects the President and two Vice-Presidents of the International Computer Club. ARTICLE 8. The highest executive body of International Computer Club shall be the Board of Directors headed by the Director-General. The Director-General shall provide ite immediate management of the operational activities of the International Computer Club on the basis of the principle of one-man leadership within his or her terms of reference and rights stipulated in the Statute and decisions of the Council of Founders. The Director-General and his or her deputy are appointed and relieved of their duties by a decision of the Council of Founders. ARTICLE 9. With the aim of conducting audits of the International Computer Club activities on the appointment of Council of Founders an Audit Commission shall be established which will act on the basis of its terms of reference. ARTICLE 10. 1. Any organizations wishing to join the Present Agreement and the International Computer Club as a Founder may file an application indicating that it shares purposes and principles of the ICC activities and accepts abligations contained in the present Agreement and ICC Statute until December 31, 1990. 2. Any organization and any person wishing to join the ICC as a Member may file an application along the lines mentioned above but irrespective of its date. 3. The admission to the International Computer Club as a Founder or as a Member shall be effected by a decision of the ICC Council of Founders. A duly certified copy of the decision of the Council of Founders on the admission to the International Computer Club shall be transmitted to the organization or the person admitted as a Founder or as a member of the ICC Statute. An organization or an individual shall be concidered to become a participants of the International Computer Club as of the date of the relevant affirmative decision of the Council of Founders. ARTICLE 11. Every organizations may withdraw from participation in the International Computer Club and the Present Agreement through filing notification with the Council of Founders at least six month in advance. During this period thr mutural claims between the ICC and the relevant organization should be settled. ARTICLE 12. The present Agreement can be altered or its action can be terminated only by a unanimous decision of all Contracting Parties, as well as organizations which joined the present Agreement in a prescribed manner. In case of cessation of the present Agreement the International Computer Club shall terminate its activities within a period and in a manner stipulated by the ICC Council of Founders. ARTICLE 13. The present Agreement comes into force upon the date of its signature. The present Agreement shall be forwarded for safekeeping to the All-Union Society "Znanie" which will serve as a Depository. Done at the City of Moscow, on December "16", 1988, in a single copy in Russian and English. Certified copies of the present Agreement shall be transmitted by the depository to all Contracted Parties.
